Apptio’s run as a public company is coming to an end after just over two years.
Private equity firm Vista Equity Partners announced a $1.9 billion for the Bellevue-based IT cost analysis software company Sunday evening. At $38 a share, that would be well above its Friday closing price of $24.85, which valued the company at about $1.12 billion.
Apptio went public at $16 per share in September 2016, raising $96 million. The company was founded by Sunny Gupta, who previously co-founded iConclude, which sold to Opsware in 2007.
Last month, the company recorded a 26 percent jump in third-quarter revenue to $59.2 million, just beating Wall Street expectation.
Most of Apptio’s revenue comes through subscriptions to products like IT Financial Management, which helps CIOs understand how much they are spending across various cloud providers and identify places in which they can cut back. Subscription revenue was $49.6 million, while revenue from services associated with those subscriptions was $9.6 million, an increase of 26 percent and 27 percent, respectively.
Apptio’s software-as-a-service platform helps companies keep track of their spending in the modern era of IT, in which spending decisions are often made by departments or individuals that need specific tools, as opposed to the massive one-size-fits-all packages negotiated by the IT group that once dominated enterprise software.
That shift gives those workers more flexibility, but it’s so easy to sign up and forget about some services that cost management can spiral out of control.
Revenue has been growing steadily at Apptio over the past year but the company has yet to turn a profit, which could be the first thing on Vista’s mind. Vista is known for its focus on enterprise technology companies; it sold Marketo to Adobe for a healthy profit earlier this year and currently controls enterprise tech companies like Datto and Tibco.
Apptio and its board will have 30 days to consider other offers, according to the press release. Assuming they aren’t blown out of the water by a superior offer, the deal is expected to close in the first quarter of next year. News of the deal was originally reported by The Wall Street Journal.

(NASDAQ: APTI), the business management system of record for hybrid IT, today announced that it has entered into a definitive agreement to be acquired by an affiliate of Vista Equity Partners (“Vista”), a leading investment firm focused on software, data and technology-enabled businesses.
Under the terms of the agreement, Vista will acquire all outstanding shares of Apptio common stock for a total value of approximately $1.94 billion. Apptio shareholders will receive $38.00 in cash per share, representing a 53% premium to the unaffected closing price as of November 9, 2018.

Apptio’s Board of Directors unanimously approved the deal and recommended that stockholders vote their shares in favor of the transaction. Apptio’s headquarters will remain in Bellevue, with regional offices across the US, EMEA and APAC. Closing of the deal is subject to customary closing conditions, including the approval of Apptio shareholders and antitrust approval in the United States. The transaction is expected to close in Q1 2019 and is not subject to a financing condition.
The merger agreement includes a 30 day “go-shop” period, which permits Apptio’s Board and advisors to actively initiate, solicit, encourage, and potentially enter negotiations with parties that make alternative acquisition proposals. Apptio will have the right to terminate the merger agreement to enter into a superior proposal subject to the terms and conditions of the merger agreement. There can be no assurance that this 30 day “go-shop” will result in a superior proposal, and Apptio does not intend to disclose developments with respect to the solicitation process unless and until the Board makes a determination requiring further disclosure.
